Terms of Service

These terms govern every website, web application, automation, and care-plan service purchased from JRP Labs LLC ("JRP Labs", "we", "us"), a Rhode Island limited liability company located in Johnston, RI 02919, United States. By paying a deposit, approving a proposal, or using a service we provide, you ("the client", "you") agree to these terms.
1. What we provide
JRP Labs provides professional services: website design and development, e-commerce setup and redesign, custom web applications and customer portals, integrations and automation, and ongoing hosting, maintenance, and support ("care plans"). Deliverables are digital. Nothing is shipped physically.
2. Proposals, scope, and pricing
- Every project starts with a written proposal that lists the scope of work, the deliverables, the estimated timeline, and the price. The proposal, together with these terms, is the agreement for that project.
- All prices are quoted and charged in US dollars (USD).
- Work that is not in the written scope is a change request. We will quote it before doing it, either as a fixed addition or at our hourly rate of $95 USD per hour billed in 15-minute increments.
- Third-party costs such as domain names, hosting, Shopify or other platform subscriptions, SMS credits, stock imagery, and payment-processing fees are not included unless the proposal says so. They are either paid by you directly to the provider or billed to you at cost.
3. Payment terms
- Fixed-price projects: a deposit of 50% of the project price is due before work begins. The balance is due on completion, before the final deliverables are transferred or the site is launched. Projects over $5,000 USD may be split into phase milestones as described in the proposal.
- Care plans: billed monthly in advance on the day the plan starts, and renew automatically each month until cancelled.
- Hourly work: invoiced at the end of each month, or when the agreed block of hours is used, whichever is first.
- Invoices are due within 7 days unless the proposal says otherwise. Work may pause on accounts more than 14 days overdue.
- Payments are processed by Stripe. We accept major credit and debit cards (Visa, Mastercard, American Express, Discover) and US bank transfers (ACH). We never see or store your full card number.
4. Delivery and timelines
- Timelines in a proposal are good-faith estimates and start once the deposit is received and we have the materials we need from you (content, logos, images, account access).
- Typical delivery is 1 to 3 weeks for a website and 4 to 12 weeks for a web application, delivered in phases with a private preview link so you can review progress throughout.
- Delays caused by late content, late feedback, or third-party platforms extend the timeline by the same amount.
- Nothing goes live on your domain without your written approval (an email or message is fine).
5. Your responsibilities
- Provide content, images, brand assets, and account access in a timely way, and confirm you have the right to use everything you give us.
- Review each phase and give feedback within 5 business days. If we hear nothing for 30 days we may treat the phase as approved and invoice it.
- Keep your own logins, domain registrations, and third-party accounts in your name and under your control. We set things up in accounts you own wherever possible.
6. Revisions and acceptance
Fixed-price projects include two rounds of revisions per phase unless the proposal says otherwise. A revision refines work already in scope; it is not a new feature. A deliverable is accepted when you approve it in writing, or when you start using it in production, or 10 business days after we deliver it with no reported defects, whichever comes first.
7. Ownership and licences
- Once the project is paid in full, you own the custom design, code, and content we created for you, and we transfer it to accounts you control.
- We keep ownership of our pre-existing tools, templates, snippets, and know-how, and grant you a perpetual licence to use them as part of your deliverable.
- Open-source libraries and third-party services stay under their own licences.
- We may show the finished work in our portfolio and describe it in general terms. Tell us in writing if you would prefer we not name your business, and we will respect it.
8. Warranty and support
For 30 days after launch we will fix, at no cost, any defect in work we delivered that does not match the agreed scope. This does not cover changes you request, problems caused by edits made by you or others, or third-party platform changes. After 30 days, fixes are covered by a care plan or billed hourly.
9. Care plans
Care plans cover hosting setup, backups, uptime monitoring, security and dependency updates, and a small monthly allowance of content changes as described in the plan. Unused allowance does not roll over. Plans renew monthly and can be cancelled at any time; see the Refund and Cancellation Policy.
10. Cancellation and refunds

11. Confidentiality
We keep your business information, data, and credentials confidential and use them only to do the work. We never share or reuse credentials across clients.
12. Acceptable use
We will not build or host anything unlawful, deceptive, or that infringes someone else's rights. We may decline or stop a project that turns out to involve such material, and will refund any unearned portion of prepayments.
13. Limitation of liability
Our services are provided with reasonable skill and care. To the fullest extent permitted by law, JRP Labs is not liable for indirect, incidental, or consequential damages, including lost profits or lost data, and our total liability for any claim is limited to the amount you paid us for the specific project or the previous three months of care-plan fees, whichever applies. We are not responsible for the availability or conduct of third-party platforms such as Shopify, Cloudflare, Stripe, or email and SMS providers.
14. Disputes and governing law
These terms are governed by the laws of the State of Rhode Island, United States. If there is a problem, email us first and we will work in good faith to resolve it. Any dispute that cannot be resolved will be brought in the state or federal courts located in Rhode Island.
15. Changes to these terms
We may update these terms from time to time. The version in effect for a project is the one published on the date its proposal is approved. The current version is always at jrplabs.com/terms.
